Terms & Conditions

This Client Services Agreement ("Agreement") is entered into as of the date of purchase by and between Whitney Bateson Digital Strategy ("Company") and the purchasing individual or entity ("Client").
By completing checkout and checking the agreement box on the ThriveCart checkout page, Client acknowledges that they have read, understood, and agree to be bound by the terms of this Agreement. No handwritten or electronic signature is required — the checkout confirmation constitutes Client's acceptance.
In consideration of the mutual promises and obligations contained in this Agreement, the Parties agree as follows:

PROGRAM & SCOPE OF SERVICES
1. Client is enrolling in Ads Made Simple, a program designed to help health practitioners set up and run Facebook and Instagram lead generation ad campaigns. The program includes self-paced training modules, done-for-you templates, swipe files, and bonuses as described on the program sales page at the time of enrollment.
2. The specific option purchased by Client is confirmed in their ThriveCart order receipt. That confirmation governs the scope of Services Client is entitled to receive.
3. Company is an independent contractor. No agency, partnership, joint venture, or employee-employer relationship is intended or created by this Agreement.

PAYMENT
4. Client agrees to pay the full program fee for their selected enrollment option at the time of purchase, prior to receiving access to any program materials or services.
5. Founders pricing is available for a limited number of spots only. The fee paid at the time of Client's enrollment is the fee that applies to this Agreement.

AD SPEND & PLATFORM FEES
6. Ad spend is entirely separate from and in addition to the program fee. Client is solely responsible for funding their own Meta (Facebook/Instagram) ad account and paying all platform charges directly to Meta. Ad spend is not included in the program fee under any enrollment option.
7. Company recommends starting with approximately $5/day (~$150/month) in ad spend. Client may choose to spend more or less at their own discretion.
8. The program fee covers access to the program only. All third-party software and platform fees — including but not limited to Zapier, email marketing platforms, design tools, website hosting, and ad platforms — are the Client's responsibility and are not included in the program fee.

CLIENT RESPONSIBILITIES
9. To participate in this program, Client agrees that they meet the following prerequisites at the time of enrollment:
-A live website
-A lead magnet (completed or nearly complete)
-An active account on a supported email platform (e.g., Kit, Mailchimp, ActiveCampaign)
-The ability and willingness to invest approximately $150/month in Meta ad spend
10. Client is responsible for ensuring their offer, services, and ad content comply with all applicable laws and Meta's advertising policies. Company is not liable for ad disapprovals, account flags, or account suspensions resulting from Client's content, offer, or business practices.
11. Where Client's selected enrollment option includes done-for-you campaign setup, Client agrees to provide timely access to their Meta Business Manager, ad account, website, and email platform as requested by Company. Delays in granting access may affect the timeline for campaign setup and launch.

RESULTS DISCLAIMER
12. Company cannot and does not guarantee specific results, including but not limited to a particular number of leads, cost per lead, return on ad spend (ROAS), discovery calls booked, or clients acquired. Ad performance depends on many variables outside Company's control, including Client's offer, audience, ad spend, creative, and market conditions.
13. The results and statistics shared on the program sales page reflect Company's own campaigns and are provided for illustrative purposes only. Client's results may vary significantly.

SUPPORT & ACCESS
14. Support included with each enrollment option is listed on Client's ThriveCart order receipt.
15. Program access is lifetime. Client will receive access to all current training materials and any future updates to the program at no additional charge.
16. Support is provided within the scope confirmed at purchase. When Slack support is included in the Client's selected purchase option, it is provided asynchronously via a dedicated Slack channel. Access to the channel begins at the time of purchase and ends after the support period specified on the Client's order receipt.
Slack support is intended for questions, guidance, and troubleshooting within the scope of the program. It does not include live or real-time responses, direct account access or management, new campaign builds, or the production of deliverables. Requests that fall outside this scope may be subject to a separate fee.

REFUND POLICY
17. Because of the instant-access nature of this program, all sales are final. No refunds will be issued after purchase. Company encourages Client to review the sales page carefully and reach out with any questions before enrolling.

INTELLECTUAL PROPERTY
18. All program materials, training content, templates, swipe files, and tools provided by Company are the intellectual property of Whitney Bateson Digital Strategy and are licensed to Client for personal, non-commercial use only. Client may not share, resell, reproduce, or distribute any program materials without prior written consent from Company.
19. Where Client's enrollment option includes done-for-you ad creatives or copy produced by Company specifically for Client, those custom deliverables become Client's property upon completion of the engagement. Company retains the right to reference the engagement for portfolio or testimonial purposes without disclosing confidential information, unless Client requests otherwise in writing.

CONFIDENTIALITY
20. Each Party agrees to keep confidential any proprietary or non-public information disclosed by the other Party in connection with this Agreement and not to disclose such information to any third party without prior written consent.

INDEMNIFICATION & LIABILITY
21. Client agrees to indemnify Company from and against any and all damages, claims, or actions arising out of or connected with Client's use of the program, Client's ad content, or Client's business practices.
22. Company's total liability under this Agreement shall not exceed the program fee paid by Client. Company is not liable for indirect, incidental, or consequential damages, including but not limited to lost ad spend, lost revenue, or lost business opportunities.

DISPUTE RESOLUTION & GOVERNING LAW
23. This Agreement will be construed in accordance with the laws of the State of Florida. If a dispute arises that cannot be resolved informally, the Parties agree to resolve it through binding arbitration in the State of Florida.

ENTIRE AGREEMENT
24. This Agreement constitutes the entire agreement between the Parties with respect to the subject matter herein and supersedes any prior discussions or representations. Any modifications must be made in writing and agreed to by both Parties.

ACCEPTANCE
By completing their purchase on the ThriveCart checkout page and checking the box confirming agreement to these terms, Client acknowledges that they have read and agree to this Agreement in full. This electronic acceptance is legally binding and serves as Client's acknowledgment of all terms set forth herein.
